Non-Solicitation Clauses in IMO Contracts: How to Protect Your Team Before You Sign
You spent years recruiting, training, and taking 10 p.m. calls from your agents. Then you decide to move IMOs, and you find one paragraph in your contract that says you can't talk to any of them.
That's a non-solicitation clause. Most agency owners sign it without reading it, and it's the one that hurts most when you leave.
What a non-solicit actually covers
A non-solicit usually bars you from recruiting agents in your hierarchy, and sometimes from contacting clients, for a set time after you leave. Some contracts go further and add a non-compete, which limits where or with whom you can work at all.
The wording matters. "You may not solicit" is different from "you may not accept." If an agent calls you on their own, a narrow clause still lets you say yes. A broad one may not.
4 terms to negotiate before you sign
1. Who counts as "your" agents
Get it defined. Is it only agents you personally recruited, or everyone the IMO ever placed under you, including people they brought in? The tighter that definition, the more freedom you keep.
2. How long it lasts
Twelve months and thirty-six months are very different deals. Push for the shortest term you can get, and make sure the clock starts on your termination date, not when the IMO decides you've "fully exited."
3. Solicit versus accept
Ask for language that only restricts active solicitation. Agents are independent business owners. If they choose to follow you, the contract shouldn't punish either of you for it.
4. What they can take if they say you broke it
Look for the penalty. Some contracts let the IMO hold or forfeit your renewals and overrides if they claim a violation. Pair this with your vesting and offset language, because a non-solicit tied to forfeiture is how people lose income they already earned.
Questions to ask in writing
- Which agents and clients does this clause cover, by name or by definition?
- How many months does it last, and when does the clock start?
- Does it restrict soliciting only, or also accepting agents who reach out to me?
- Can you hold or forfeit my renewals if you claim I violated it?
If they won't put the answers in writing, assume the broadest reading.
Why I care about this
I'm grateful for every agent who's trusted me with their career. Loyalty in this business should come from how you treat people, not from a contract that traps them. The best IMOs don't need a cage to keep their teams.
You built that team. Make sure the paper you sign agrees.
